1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the SoundVeil application ("Software") and website ("Service") operated by Awaken LLC ("we", "us", or "our"). By accessing or using our Software or Service, you agree to be bound by these Terms.

2. Description of Service

SoundVeil is a macOS application that provides real-time ML-powered noise suppression for audio input. The Software creates a virtual microphone device that processes audio locally on your Mac to remove background noise.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, revocable license to:

• Download and install the Software on one (1) Mac computer at a time that you own or control
• Use the Software for personal or commercial purposes
• Receive updates to the Software during your subscription period or, for lifetime licenses, indefinitely
• Deactivate your license on one device and reactivate it on another device you own

4. Restrictions

You may NOT:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Remove any proprietary notices or labels on the Software
• Use the Software for any unlawful purpose
• Share your license key with others or use a license key you are not authorized to use

5. Free Trial

We offer a free trial period that allows you to evaluate the Software with full functionality. No credit card or account is required for the trial. After the trial period ends, you must purchase a license to continue using the noise suppression features.

6. Payment and Subscription

SoundVeil offers multiple pricing options: monthly subscription, annual subscription, and lifetime license. All payments are processed securely through Polar.sh, our third-party payment processor and license fulfillment provider.

By making a purchase, you acknowledge that your email address and payment information will be collected and processed by Polar.sh to complete your transaction, manage your subscription, and deliver your license key. Polar.sh is the sole third-party service involved in payment processing and license delivery. Your use of Polar.sh services is subject to their Terms of Service.

• Monthly/Annual Subscriptions: Automatically renew unless cancelled before the renewal date
• Lifetime License: One-time payment for perpetual use, including all future updates
• Plan Changes: You may upgrade your plan at any time; remaining time will be prorated

7. Refund Policy

SoundVeil offers a 7-day free trial with full functionality, allowing you to thoroughly evaluate the Software before purchasing.

No refunds are provided after purchase, as the free trial period provides ample opportunity to test whether SoundVeil meets your needs.

48-hour exception: If you accidentally purchased the wrong plan or made a duplicate purchase, contact us within 48 hours at [email protected] and we will process a refund.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to SoundVeil until the end of your current billing period. No partial refunds are provided for unused time.

8. Updates and Changes

We may update the Software from time to time to improve functionality, fix bugs, or add new features. We reserve the right to modify these Terms at any time. Continued use of the Software after changes constitutes acceptance of the new Terms.

9. Intellectual Property

The Software, including its code, design, graphics, and documentation, is owned by Awaken LLC and protected by copyright and other intellectual property laws. Your license does not grant you any ownership rights.

10. Privacy

SoundVeil processes all audio locally on your device. No audio data is ever transmitted to our servers. Please review our Privacy Policy for complete details on how we handle information.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWAKEN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SOFTWARE.

13. System Requirements

The Software requires macOS 14.0 or later and is compatible with Apple Silicon M Series processors. You are responsible for ensuring your system meets these requirements.

14. Termination

We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination, you must cease all use of the Software and delete all copies.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
